For custom production or large-volume imports, a Pre-Production Sample will be produced by the Manufacturing Partner upon the Buyer’s request.

Costs related to sample production, testing, and international express courier delivery (DHL/FedEx) shall be borne by the Buyer, unless agreed otherwise in writing.

3.3. Exclusion of Cancellation for Custom Imports:

Orders for goods manufactured according to the Buyer’s custom specifications, branding, or specifically imported for the Buyer are non-cancellable and irrevocable. The finalization of such orders is subject to advance payment.

4. PRICES, PAYMENT TERMS, AND RETENTION OF TITLE

4.1. Prices

All quoted prices are net prices excluding VAT. Packaging is included, but customs clearance and freight are included only if explicitly mandated by the chosen Incoterms rule (e.g., DDP).

4.2. Currency and Exchange Rate Risk

Payments shall be made in EUR or HUF as specified. If the international currency exchange rate (EUR/HUF or USD/EUR) fluctuates by more than 3% between the date of the Individual Contract and the date of payment, the Seller reserves the right to adjust prices proportionally.

4.3. Payment Terms and Advance Payment

For custom import orders, default payment terms are: 30–50% advance payment upon order placement (to initiate manufacturing), with the remaining balance due prior to shipment / upon presentation of the Bill of Lading (B/L) or upon delivery.

For credit terms, the payment deadline is 8–15 calendar days from the invoice date.

4.4. Late Payment

In the event of late payment, the Buyer shall pay statutory B2B late payment interest (central bank base rate + 8 percentage points), as well as the statutory EUR 40 lump-sum recovery cost.

The Seller reserves the right to suspend all further deliveries immediately in case of payment default.

4.5. Retention of Title

Delivered Products shall remain the sole property of the Seller until the purchase price and any associated costs (late interest, freight) are paid in full.

5. INTERNATIONAL TRANSPORTATION, CUSTOMS, AND RISK OF LOSS

5.1. Incoterms Rules

Delivery terms shall be governed by Incoterms 2020 rules (EXW, FOB, CIF, DAP, DDP) as specified in the Individual Contract. Default terms are DAP (Buyer’s premises) or EXW (Seller’s warehouse).

5.2. Transfer of Risk

The risk of loss or damage transfers to the Buyer in accordance with the designated Incoterms rule.

5.3. Delivery Schedules and External Delays

International sea, air, and land transport timelines are estimates only. The Seller disclaims all liability and penalty obligations for delays resulting from ocean carrier rescheduling, port congestion, physical customs inspections, or broader international logistics disruptions.

6. QUALITY, MANUFACTURING TOLERANCES, AND ACCEPTANCE (AQL)

6.1. Industrial and Manufacturing Tolerances

The Buyer explicitly acknowledges that due to the nature of textiles, leather, and safety gloves and the realities of mass production, the following variations SHALL NOT constitute defective performance:

Size, weight (GSM), and thickness variances within ±5% to ±10%.

Minor color shade variations between different production batches (dye lots)

6.2. AQL Quality Inspection Standards

Quality inspection of products is conducted according to the internationally recognized ISO 2859-1 (AQL - Acceptable Quality Limit) standard (defaulting to Level II, AQL 2.5 for major defects, and AQL 4.0 for minor defects). Scattered minor defects falling within standard AQL limits shall not constitute grounds for rejecting an entire shipment.

6.3. Procedure for Quantity and Quality Claims

Visible Defects / Shortages: The Buyer must inspect packaging upon delivery and note any discrepancies on the consignment note. Written notification must be submitted within 3 business days.

Latent Defects: Must be reported in writing within 5 business days of discovery, but no later than 30 calendar days from delivery. Claims must include photo/video documentation and physical samples if requested.

6.4. Remedies for Defective Goods

In the case of a substantiated claim, the Seller may at its sole discretion: (a) replace defective units in the subsequent shipment, (b) issue a proportional price reduction, or (c) issue a credit note.

7. LIMITATION OF LIABILITY AND INDEMNIFICATION

7.1. Exclusion of Indirect Damages

To the maximum extent permitted by law, the Seller excludes all liability for any indirect, consequential, or incidental damages, lost profits, loss of sales, contractual penalties claimed by the Buyer’s customers, or operational downtime

7.2. Cap on Liability

The Seller’s total aggregate monetary liability for any claim arising out of or related to an order shall not exceed the net invoiced value of the specific Individual Contract giving rise to the claim.

8. FORCE MAJEURE

8.1. Force Majeure refers to any unforeseeable, extraordinary external event beyond the reasonable control of the Parties affecting manufacturing or international transport (e.g., war, military conflict, naval blockades, strikes, severe raw material shortages, epidemics, embargoes, or government import restrictions).

8.2. In a Force Majeure event, the Seller is relieved from delivery schedules for the duration of the event. If a Force Majeure event exceeds 90 days, either Party may terminate the contract in writing without incurring damage liability.

9. CONFIDENTIALITY AND NON-CIRCUMVENTION

9.1. Protection of the Supply Chain (Non-Circumvention)

The Buyer agrees not to engage in direct business relations with, circumvent, or solicit orders directly from the Manufacturing Partners, factories, or Pakistani suppliers introduced or utilized by the Seller, without prior written consent from the Seller.

9.2. Trade Secrets

Both Parties shall keep all commercial information, pricing structures, and supplier data acquired during their cooperation strictly confidential.

10. GOVERNING LAW AND JURISDICTION

10.1. These GTC and all underlying contracts shall be governed by and construed in accordance with the laws of Hungary. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

10.2. Any disputes arising out of or in connection with these GTC shall be submitted to the exclusive jurisdiction of the competent ordinary court having jurisdiction over the Seller's registered seat in Hungary.
